Constitution of the NINJA DAO
Preamble
We, the NINJAs unite through the NINJA DAO, made it our mission to build the foundation & infrastructure for a future society, where each one of its members can thrive and become the best version of themselves.
A society where each member has the same rights and voting power, based on a true Democratic system that enables us to give everyone a voice.
We, the NINJAs, commit to being resourceful and using our influence to help those in need and help Earth be liveable for the coming generations.

Article I: Purpose
The purpose of the NINJA DAO is to establish a true democratic society that fosters unity and collaboration among its members. By providing each member with an equal vote, the DAO creates a foundation for collective decision-making and investment. Its main objective is to enable the fair distribution of wealth and resources among its members, creating an environment where everyone has the opportunity to thrive. The NINJA DAO acts as a platform for community members to come together, share ideas, and work towards a common goal of achieving prosperity and success for all. Through its commitment to democratic values and equitable distribution of resources, the NINJA DAO seeks to establish a model for creating sustainable and prosperous communities.
Article II: Membership
Membership in this DAO is restricted to those who have successfully completed the 3 Levels of the NINJA Academy, which consist of the following:
Online School: Students have to pass a comprehensive online library of courses and challenges covering essential skills for a healthy and prosperous life.
Bootcamp: Participants must live and participate for 30 Days in the NINJA physical community that promotes healthy habits and personal and professional growth.
Community: Students must become part of the community for 3 months and practice the teachings of the NINJA Academy and become valuable members.
Upon successful completion of the NINJA Academy, students will be awarded one NFT, which grants them the right to participate in the governance of the DAO. Members are eligible to hold only one NFT, which grants them 1 voting right.
Article III: Governance
The governance of this DAO is based on a collection of NFTs, with each NFT representing a vote in the decision-making process. Members are entitled to hold one NFT only, which grants them 1 voting right.
Article IV: Decisions
Decisions regarding the direction and operation of this DAO will be made through a voting process, with a simple majority of the voting NFTs being required to pass a proposal. Proposals can be submitted by any member and will be considered at the next scheduled voting session. The results of the voting will be binding on all members, and all members will be expected to work towards the implementation of the approved proposals.
Article V: Proposal Process
1. Requirements to Submit a Proposal
To submit a proposal, an individual must be a Member of the DAO who has signed the Constitution and holds an NFT from the collection Nxm1PMnhQmGPR1gxEidgYmoZV6oy9GqLJfu5phtRxtu.
2. Proposal Formation
All proposals must include the following information:
The Idea: A clear and concise description of the proposed idea.
Benefits for the DAO & Members: A description of how the proposal will benefit the DAO and its Members.
Team to Execute: A description of the team that will be responsible for executing the proposal.
Costs Involved: A breakdown of the costs associated with the proposal.
Timeline: A proposed timeline for the implementation of the proposal.
3. Steps to Submit a Proposal
Write out the Idea: The individual must write out a detailed description of the proposed idea.
Post Idea on Discord: The individual must post the idea on the DAO's Discord channel for Members to discuss and provide feedback.
Gather a Team: The individual must gather a team to execute the proposal.
Optimize the Idea: Based on feedback from the Members, the individual must optimize the idea and post it on Discord for another review.
Submit the Proposal: After finalizing the proposal, the individual must submit it on the DAO's platform at https://app.realms.today/dao/9QRsycaSdQ7yt6FxtMuxqPezQAekQLdor26XexGprXGN for Members to vote on.
Article VI: Finances
The finances of this DAO will be managed through the collection and distribution of funds from tuition, sponsorships, product sales, affiliate marketing, and other sources of income. All financial decisions will be made through the voting process outlined in Article IV.
Article VII: Community Guidelines for NINJA DAO
Respect for all members: We encourage a positive and respectful environment for all members of our community. All members should be treated with dignity and respect, regardless of their beliefs, opinions, or backgrounds.
No harassment or discrimination: Harassment or discrimination based on race, gender, age, sexual orientation, religion, or any other personal characteristic is strictly prohibited.
Constructive communication: Communication should be constructive and professional, avoiding personal attacks and insults. Members should strive to understand each other’s perspectives and engage in respectful debates and discussions.
Confidentiality: Members should respect the privacy of other members and keep confidential information shared within the community private.
Responsibility for content: Members are responsible for the content they share within the community, including text, images, and videos. Content that is illegal, harmful, or inappropriate will not be tolerated.
No spamming: Members should not spam other members with unwanted messages or promotions. Any spamming will result in immediate action from the moderation team.
Follow the rules: Members are expected to follow the rules and guidelines set forth by NINJA DAO. Failure to do so may result in suspension or termination of membership.
Be a positive influence: We encourage members to be positive influences within the community, sharing their knowledge and experiences to help others.
Always act in goodwill for the community / DAO
We commit to building systems that free people not enslave them

We use the tools of technology smartly, we don’t abuse them
We exercise to keep our bodies in shape and filled with energy
We eat healthy & with conscious
Report any issues: If you encounter any issues or have concerns about the behavior of other members, please report them to the moderation team for review.
By participating in the NINJA DAO community, members agree to abide by these guidelines and help maintain a positive and respectful environment.
Article VIII: Dissolution
In the event that this DAO is dissolved, all assets will be distributed among the members in proportion to their NFT holdings.
Article IX: Amendments
This constitution may be amended by a 75% majority vote of the members, provided that the proposed amendment has been posted and is open for discussion for at least two weeks.
Article X: Executive Board
Section 1: Composition of the Executive Board
The DAO shall have an Executive Board, consisting of not less than three (3) and not more than seven (7) members who shall be elected by the NFT holders of the DAO. The Executive Board members shall serve for a term of two (2) years, with the possibility of re-election.
Section 2: Duties and Responsibilities of the Executive Board
The Executive Board shall be responsible for the implementation of decisions made by the DAO, as well as the day-to-day management and operations of the DAO. They shall be in charge of overseeing the management of funds, resources, and personnel of the DAO.
Section 3: Election of the Executive Board
The election of the Executive Board shall take place every two (2) years and shall be conducted through a vote by the NFT holders of the DAO. The election shall be open for a period of two (2) weeks and shall be administered by the Secretary of the DAO.
Section 4: Powers and Limitations of the Executive Board
The Executive Board shall have the power to make decisions and carry out the functions necessary for the implementation of the policies and objectives of the DAO. However, they shall not have the power to alter the Constitution or make any decision that goes against the principles and values of the DAO.
Section 5: Removal of the Executive Board
The NFT holders of the DAO shall have the power to remove any member of the Executive Board by a three-quarter (3/4) vote of the NFT holders. The removal of the Executive Board shall be done in accordance with the procedures set forth in the Constitution.
Article XI: Voting Fairness and Incident Management
Freshly Borrowed Governance Tokens: Freshly borrowed governance tokens shall not be allowed to influence the outcome of a proposal vote.
Last Block Sniping: In the event that someone snipes the last block before a proposal's end time, the DAO shall have the ability to void or invalidate any votes made under such circumstances.
Incapacitated Voting Tool: In the event that the voting tool is incapacitated during a proposal voting period, the DAO Executive Board shall have the discretion to extend the voting period or take other appropriate measures to ensure the fair and impartial administration of the voting process.
Stolen Governance Tokens: If it can be proven that governance tokens that were stolen were used in a vote, the DAO Executive Board shall have the authority to void or invalidate such votes and take any necessary action to secure the DAO's governance tokens.
The DAO recognizes the importance of ensuring a fair and transparent voting process and shall take all necessary measures to prevent undue influences and ensure the integrity of the voting process.
